Regular Meeting Minutes
Tuesday, December 16, 2025
President Mike Montemurno called to order the meeting and on ZOOM of the Delray Villas Plat 4/5 HOA Board of Directors on Tuesday, December 16, 2025, at 7:30 PM in the “B“ Building with the Pledge of Allegiance and a moment of silence for our departed family, friends, neighbors, and service members.
Attendance
The following Directors were present: Mike Montemurno, Bill Yesowitch, Dianne Stevens, Alan Rossman, Betty Hillier, Nancy Grasso, Tommy Rudolph, Maggie Bogner and Ruth Mirailh. Rick Mancini and Sheila Lane were excused.
Secretary’s Report
Dianne Stevens read the minutes of November 11, 2025, HOA regular business meeting. The minutes were accepted as read from a motion by Tommy Rudolph and seconded by Alan Rossman. All directors were in favor.
Treasurer’s Report
Mike Montemurno reported that we needed to move money from one bank to another. Nancy Grasso made a motion to move $50,000 from the 5th 3rd bank to the Valley Bank operating account and Bill Yesowitch seconded the motion. All board members were in favor. There are two homes in foreclosure. Letters have been signed and sent out. Regarding our budget for 2026, our insurance went up 28%. Our previous bill was $49,375.57. Our new bill will be $63,623.36, a $14,000 increase. The increase was in general liability and the directors’ PO. We are at the bare minimum for coverage. We cannot go lower. The Treasurer’s report was accepted from a motion by Ruth Mirailh and seconded by Bill Yesowitch. All directors were in favor.
Committee Reports
Alliance: Alan Rossman reported that there was no meeting in December.
Interviews: Alan Rossman reported that there were three interviews this month. Two were buyers and one rental. All were accepted. There is one more interview before the end of 2025.
Architectural: Alan Rossman reported that 14 applications were reviewed. All were approved. Alan’s paint charts are missing.
Inspections: Betty Hillier reported that the team went out in December and 9 letters were sent out to homeowners. We are giving them 90 days to comply.
Maintenance, Lakes & Ponds: Mike Montemurno reported that all is good.
Roads and FPL Lights: Tommy Rudolph reported that there are four FPL lights out. FPL is working on them.
Lollipops and Carriage Lights: Tommy Rudolph reported that there are 34 lollipops/carriage lights are not on. Thirteen are repeat offenders.
Rec Board: Lynn Cohen updated all the upcoming Rec events. Camille updated us on the process for payment of the special assessment. Payments will begin on January 15, 2026. The Rec is back in litigation with the executive board of Plat 1. We are moving forward on January 6, 2026, the Rec board will be reviewing the bids.
That’s What Friends are for: No problems
Website: Alan Shwartz reported that everything is up to date. There were 42 people on Zoom.
Plat Chat: Ruth Mirailh reported that the next Plat Chat is going online in January. Please let Ruth or Dianne know if you are requesting a hard copy of the Plat Chat.
Distribution: Harvey Lazaroff reported that everything is fine.
We Care: Paul Mirsky reported through a text that one wheelchair and one cane went out on loan.
Welcoming Committee: Maggie Bogner reported that they visited two homes. One got the gifts, the other wasn’t at home but a note was left to say that the Welcoming Committee was there and to contact Maggie for the gift.
Old Business
Update on Signs: Mike Montemurno reported that the signs are constructed and completed. We are waiting for the lettering to be completed and installed
Dog Leashes: Bill Yesowitch reported that we have approved the restriction on retractable leashes. However, it has been reported that instead of fewer retractable leashes, there are now more. If you use a retractable leash, the dog owner will be solely responsible if someone gets injured.
HOA Dues Increase: Mike Montemurno reminded everyone that our HOA dues are increasing from $810.00/quarter to $840.00/quarter. There is no increase in the Rec portion of our HOA increase.
New Business
Replacement of 4/5 Rep to Rec: Mike reported that Mark Cafiero has resigned as our rep to the Rec Board for medical reasons. The board has approved Judith Silsby as his replacement for a one-year term.
Vote Now Results: Mike Montemurno reported the results of the elections. Of the 491 homeowners, we had 52.95% voting. The four board members are Dianne Stevens, Alan Rossman, Glenn Selmi, and Ruth Mirailh,
Good and Welfare: The new bank for Plat 4/5 HOA dues payment is now to Valley Bank in Tampa, FL Mike Montemurno said his goodbyes as a board member and 6-year President of our HOA Plat 4/5
Adjournment: The meeting was adjourned at 8:35pm with a motion from Betty Hillier and seconded by Ruth Mirailh

Reorganization Meeting Minutes of December 16, 2025
The Reorganization Meeting began at 8:39pm. Immediately following the election, the Board prepared to elect officers for its 2026 term. The reorganization meeting is an open meeting as directed by state law. The Secretary opened the reorganization meeting for the election of the Executive Board Officers.
Secretary Dianne Stevens opened the election of officers requesting nominations for President. On a motion from Bill Yesowitch and seconded by Alan Rossman, Margaret Bogner is nominated for the office of President. Margaret stated he would accept the position if elected. Hearing no further nominations, Margaret Bogner is unanimously elected President.
President Bogner took over the election process and requested nominations for Vice President. On a motion from Bill Yesowitch and seconded by Nancy Grasso. Alan Rossman is nominated for the office of Vice President. Alan stated that he would accept the position if elected. Hearing no further nominations, Alan Rossman is unanimously elected Vice President.
President Bogner requested nominations for Treasurer. On a motion from Alan Rossman and seconded by Ruth Mirailh. Sheila Lane was nominated for the office of Treasurer. Sheila stated via an email to the board that she would accept the position if elected. Hearing no further nominations. Sheila Lane is unanimously elected Treasurer.
President Bogner requested nominations for Secretary. On a motion from Nancy Grasso and seconded by Bill Yesowitch, Dianne Stevens is nominated for the office of Secretary. Dianne Stevens stated she would accept the position if elected. Hearing no further nominations. Dianne Stevens is unanimously elected Secretary.
The reorganizational meeting was adjourned at 8:50 pm from a motion by Betty Hillier and seconded by Nancy Grasso.
